1. License

TARDISK grants to Licensee during the term of this Agreement a non-exclusive, non-transferable, revocable and restricted license to use internally the Software strictly for the purposes of determining possible memory upgrades to Licensee's personal computer. No resale, relicensing, export, re-export or other redistribution of the Software in any way is permitted. Licensee acknowledges and agrees that it is solely responsible for the provision, maintenance and operation of all software (including without limitation all operating systems, web browsers, and network software), hardware, firmware, computer and telecommunications equipment and services, and all other third party products, materials and services necessary or useful for the proper download, installation, operation, access and/or use of the Software, and for paying any and all fees, costs and expenses associated with any and all of the foregoing.

2. Ownership

All right, title and interest in and to the Software, including without limitation all patent, copyright, trademark, trade secret and all other proprietary and intellectual property rights, shall at all times remain with TARDISK (or its licensors). Licensee acknowledges and agrees that no ownership interest in or to the Software is transferred to Licensee hereunder, and that the Software is provided to Licensee during the term of this Agreement only and strictly on a license basis as provided for within this Agreement. TARDISK (or its licensors) reserves all rights not expressly granted.

3. Permitted Uses

  1. Licensee may:
    1. Download, install and use one hundred (100) copies of the Software on one hundred (100) personal computers of Licensee; and
    2. make one (1) additional copy of the Software in machine readable format for backup purposes only.
  2. Licensee is prohibited to the fullest extent permitted by applicable law from doing any of the following:
    1. Sublicense, sublease, lease, sell, distribute, rent, permit concurrent use of or grant other rights in the Software;
    2. provide use of the Software in a computer service business, network, time sharing or interactive cable television arrangement;
    3. transfer or assign this Agreement; or
    4. translate, copy, modify, adapt, alter, reverse engineer, create derivative works, decompile or disassemble any part of the Software.

4. Warranties

EXCEPT AS EXPRESSLY PROVIDED IN TARDISK WARRANTY, THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY REPRESENTATIONS OR WARRANTIES WHATSOEVER. TARDISK DOES NOT REPRESENT OR WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, BUG-FREE, UNINTERRUPTED, TIMELY, COMPLETE, ACCURATE OR SECURE. WITHOUT LIMITING THE FOREGOING, TARDISK EXPRESSLY DISCLAIMS ANY AND ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND THOSE ARISING FROM A COURSE OF DEALING, USAGE, TRADE CUSTOM OR PRACTICE. THESE DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMISSABLE UNDER APPLICABLE LAW.

5. Limitation of Liability

THE ENTIRE RISK AS TO THE DOWNLOAD, INSTALLATION, ACCESS, USE, RESULTS AND PERFORMANCE OF THE SOFTWARE IS ASSUMED BY LICENSEE. TARDISK SHALL NOT BE LIABLE UNDER ANY CIRCUMSTANCES OR ANY LEGAL OR EQUITABLE THEORY, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, FOR ANY LOST REVENUE OR PROFITS, LOST OR DAMAGED DATA OR ANY OTHER COMMERCIAL OR ECONOMIC LOSS, OR FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR SPECIAL DAMAGES WHATSOEVER ARISING OUT OF OR RELATING TO THE SOFTWARE OR TO THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. 6. Term and Termination

This Agreement is effective until terminated. Licensee may terminate this Agreement at any time by ceasing all use of the Software. This Agreement shall terminate immediately without notice from TARDISK if Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee must destroy all copies of the Software.

7. S. Government Licensees

Any download, installation, access or use of the Software for or on behalf of the United States of America, its agencies and/or instrumentalities ("U.S. Government"), is provided with Restricted Rights. Use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights at 48 CFR 52.227-19, as applicable. Manufacturer is TarDisk,LLC , 125 western Avenue, Bostn Ma 02163.

8. Export Restrictions

The Software and technical data delivered under this Agreement are subject to U.S. export control laws and may be subject to export or import regulations in other countries. Licensee agrees to comply strictly with all such laws and regulations and acknowledges that Licensee has the responsibility to obtain such licenses to export, re-export, or import as may be required.

9. Governing Law

This Agreement shall be governed by the laws of the State of Delaware and controlling U.S. federal law. No choice of law or conflict of law principles shall apply, and the 1980 United Nations Convention on Contracts for the International Sale of Goods, if applicable, is expressly excluded. Licensee agrees that the state and federal courts located in Idaho constitute a convenient forum for any litigation and Licensee submits to the exclusive and personal jurisdiction and venue of such courts. This transaction is void wherever such transaction is prohibited.

10. General

Any provision of this Agreement which is held to be prohibited or unenforceable in any jurisdiction shall, as to such jurisdiction, be severed from this Agreement and ineffective to the extent of such prohibition or unenforceability without invalidating the remaining portions hereof or affecting the validity or enforceability of such provision in any other jurisdiction. This Agreement sets forth the entire agreement and understanding of the parties relating to the subject matter herein and merges all prior discussions and understandings between the parties relating to the subject matter herein. No modification of or amendment to this Agreement, nor any waiver of any rights under this Agreement, shall be effective unless in writing signed by TarDisk.

IN NO EVENT SHALL TARDISK, ITS SUPPLIERS OR ANY AFFILIATES BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, ANY FINANCIAL LOSS OR ANY LOST DATA OR FILES, EVEN IF TARDISK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. IN NO EVENT WILL TARDISK LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT. THESE LIMITATIONS AND EXCLUSIONS APPLY TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

Any product produced by TarDisk must be used in a device that is compliant with the specifications of the SD Card Association, as applicable; use with any other device unconditionally voids this warranty. TarDisk is not responsible for any failure or defect arising out of the presence of a third party product, software or component, whether authorized or not. This warranty is void if the Product was not used in strict accordance with its instructions or was damaged as a result of improper installation, misuse, unauthorized repair, modification or accident. In the case of replacements, ownership of the original Product will be transferred to TarDisk and TarDisk will not return original Product to You. Data recovery is not covered under any warranty expressed or implied and is not part of the replacement process. TarDisk is not liable for data loss or corruption in any cases.

You agree that any TarDisk product shall not be used in life support systems or other applications where failure could threaten injury or life. TarDisk disclaims any and all liability in connection with, arising out of, or related to, any such use of the product.

Terms and Condition for Resellers and Distributors

Welcome to TarDisk LLC’s internal Terms and Condition for Resellers and Distributors (collectively, Resellers), where you can obtain information to assist with managing your relationship with TarDisk, LLC, and its affiliates (each and collectively, “TarDisk”, “we”, “us” or “our”). Any person or entity (“Reseller”, “you” or “your”) who wants to purchase Products (as defined in Section 1) from TarDisk or access or use this website must accept these Reseller Terms and Conditions (“Agreement”) without change. BY RESELLING TARDISK PRODUCTS OR OTHERWISE USING THIS WEBSITE, YOU (1) ON BEHALF OF YOURSELF AND THE ENTITY THAT YOU REPRESENT, AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT, INCLUDING ALL TERMS AND CONDITIONS INCORPORATED BY REFERENCE; AND (2) REPRESENT AND WARRANT THAT YOU ARE EXPRESSLY AUTHORIZED TO BIND VENDOR TO THIS AGREEMENT.

1. Purchase Orders:

This Agreement governs the sale of Products to you. “Products” means all goods (excluding, if applicable, digital content that is intended for sale to customers and that is covered by separate agreements between you and us) provided by TarDisk, LLC. We are not obligated to sell Products, and you are not obligated to buy Products, until you provide a purchase order (“PO”). TarDisk will not substitute Products or combine or consolidate POs without our consent. Reseller will not substitute PO payments or combine or consolidate PO payments without our independently written consent. Terms specified in PO confirmations or other communications sent by you to us are not binding unless agreed to in writing by both parties. We may modify or cancel POs without penalty before products are shipped. The PO provides Product prices and payment terms and may include discounts or rebates.

2. Payment Terms:

This Agreement governs the payment terms of Products sold to you. Payment terms are the payment rules imposed by TarDisk on Resellers. Payment terms are imposed to ensure that payments are received by suppliers within a reasonable period of time. Discount terms may be allowed in order to accelerate cash collections. Payment terms shall be by default payment upon shipment, otherwise if agreeded shall be Net15, Net30, Net45 or Net60. By way of this agreement no payment terms shall be greater than Net60.

3. Penalty Fees for Late Payments:

Superseding any standing agreement, a payment is late and subject to fees if either the payment period agreed with the debtor or, if there is none, the 'default period', has run out. A payment period shall be specifically agreed in writing. A payment becomes 'late' the day after it should have been paid. If there isn't an agreed payment period, a payment is late if it has not been paid within 7 days after either; (1) TarDisk has delivered the goods, or provided a service, to the debtor; or (2) TarDisk provided the debtor notice of the amount owed - whichever is later. In all cases, TarDisk shall calculate interest from the day after the period for payment runs out. Late fee penalties shall be calculated as either five percent (5%) of the outstanding balance per week for balances which have been agreed to, or fifty dollars USD ($50) per invoice per week for any valid invoice in dispute. PAYMENT SHALL BE RECEIVED BY TARDISK BEFORE THE LAST DAY OF ANY AGREED TO PAYMENT TERMS TO AVOID PENALTY FEES. (Ex: for Net60 terms, payment must be received prior to the 60th day calculated from the date marked on the invoice.)

We reserve the right to change any of the terms and conditions contained in this Agreement, including any Program Policies incorporated herein, at any time and in its sole discretion. Any changes will be effective upon the posting the revised terms, conditions or Program Policies on this website. You are responsible for reviewing any revised terms, conditions, policies, guidelines, and information, and any notices of revisions. We may disclose personally identifying information (PII) about you:

With service providers to our Advertisers: Our Advertisers may contract with companies who handle data (such as Advertisers’ customer lists) for them.

In connection with legal proceedings: When we are under a legal obligation to do so, for example to comply with a binding order of a court, or where disclosure is necessary to exercise, establish or defend the legal rights of TarDisk, LLC, our Advertisers or any other third party.

In connection with a sale of our business: If a third party acquires some or all of our business or assets, we may disclose your PII in connection with the sale.

We also share technical data that we collect about your browsing habits and your device (such as data relating to our cookies, tracking pixels and similar technologies) with other advertising companies in the digital advertising ecosystem. This enables them and us to better target ads to you.

Finally, we may disclose aggregated, anonymized information to our Advertisers and other third parties.

The TarDisk, LLC platform uses cookies, tracking pixels and related technologies to provide our services for Advertisers. Cookies are small data files that are served by our platform and stored on your device. They enable us to identify your device when you move between different websites and applications, so that we can serve targeted advertising to you.

Specifically, the TarDisk, LLC cookie we serve through the TarDisk, LLC platform for this purpose is named “__TarDisk, LLC”. We may also drop an additional TarDisk, LLC opt-out cookie if you opt-out as described below. We may also drop cookies from our Advertising Partners for the purposes described above. The Advertising Partner cookies dropped vary by Advertiser implementation.

Further, if you use multiple browsers or devices you will need to execute this opt out on each browser or device. If you opt-out we may collect some data about your online activity for operational purposes (such as fraud prevention) but it won't be used by us for the purpose of targeting ads to you.

You can opt-out of receiving targeted ads served by us or other advertising companies: TarDisk, LLC is also a member of the Network Advertising Initiative (NAI). You may use the NAI opt out tool here, which will allow you to opt out of seeing targeted ads from us and from other NAI approved member companies.

We also comply with the Self-Regulatory Principles for Online Behavioral Advertising as managed by the Digital Advertising Alliance (DAA). You may opt out of receiving targeted ads from other companies that perform ad targeting services, including some that we may work with as Advertising Partners via the DAA website here.

We also adhere to the European Interactive Advertising Digital Alliance (EDAA) guidelines for online advertising and you may opt out via their Your Online Choices website.

Other ad companies’ opt-outs may function differently than our opt-out.

You can opt-out of our tracking your online activity for targeted advertising purposes (Do Not Track): We respond to “do not track” or “DNT” signals sent from your browser. If the website of one of our Advertisers receives a DNT signal, during that visit, we will not link data we collect to your browser identifier so that new data collected about you will not be used by us for targeted advertising purposes, but older data collected about you may still be used.

In addition, if you are located in the European Economic Area you may also have the right to access, correct or update some of the PII we hold about you. You can also request that we delete your PII. If you wish to exercise any of these rights, please contact us at info@TarDisk.com. Please note that in many cases, we hold identifiable PII only on behalf of our Advertiser clients, and we may instead direct you to contact them.

6. Data retention

We retain the identifiable data we collect directly for targeting purposes for 14 months, after which time we employ measures to de-identify the data by removing unique identifiers and truncating associated IP addresses.

Identifiable data collected for other purposes is held no longer than necessary for our business purposes or to meet legal requirements.

7. Security

We apply technical, administrative and organizational security measures to protect the data we collect against accidental or unlawful destruction and loss, alteration, unauthorized disclosure or access, in particular where the processing involves the transmission of data over a network, and against other unlawful forms of processing.

8. International transfers

We may transfer the information we collect about you to countries other than the country where we originally collected it for the purposes of storage and processing of data and operating our services. Those countries may not have the same data protection laws as your country. However, when we transfer your information to other countries, we will protect that information as described in this Privacy Notice.

To the extent they are applicable, TarDisk, LLC, (our U.S.-based parent company) complies with the principles of the U.S./EU and U.S./Swiss Safe Harbor Frameworks regarding Notice, Choice, Onward Transfer, Security, Data Integrity, Access and Enforcement with respect to the personal information it receives in the U.S. from the relevant European countries, effective as of the date its certification is posted to the U.S Department of Commerce website at https://safeharbor.export.gov/list.aspx. To exercise their rights under Safe Harbor or file a complaint, residents of those countries may contact TarDisk, LLC, as described below, and our Advertisers can log into their accounts to directly access and correct certain information they have submitted. In the event we are unable to resolve a disagreement with a covered European resident regarding the handling of his or her personal information under Safe Harbor, we agree to resolve the matter through the International Centre for Dispute Resolution / American Arbitration Association Safe Harbor Dispute Resolution Program (https://go.adr.org/safeharbor). Opened Items

Software Products and Hardware containing Software Products can not be returned.

Hardware can be returned within 14 days however will be subject to a restocking fee. Products damaged by improper usage such as bending, scratching will be subject to a 50% restocking fee.

To process a return, simply print out your original order confirmation email and mail the TarDisk back to us. Make sure to properly label, protect and insure your returned product, as TarDisk, LLC is not responsible for lost or damaged shipments. Warranty

Effective Date - June 1st, 2016

TarDisk provides this limited warranty to the end user purchaser (“You”), that this product (the “Product”), excluding content and or software supplied with or on the Product, will be free from material defects in manufacture and will be fit for normal use in accordance with published instructions for a period of 1 year commencing on the date of purchase provided that the Product is purchased from TarDisk or a TarDisk authorized reseller. This warranty is provided only to You and is not transferable.

This warranty does not cover use of the Product in connection with the following uses or devices (as determined by TarDisk): (i) normal wear and tear, (ii) video monitoring, security, and surveillance devices, (iii) internet protocol/network cameras, (iv) in-car recording devices/dashboard cameras/black box cameras, (v) display devices that loop video, (vi) continuous recording set top box devices, (vii) continuous data logging devices like servers, or (viii) other excessive uses that exceed normal use in accordance with published instructions.

This warranty covers only original TarDisk products.

To make a warranty claim please contact TarDisk at Warranty@TarDisk.com within the Warranty Period and provide proof of purchase (showing date and place of purchase and name of the seller/reseller) and product name, type and number. You may return the Product after first obtaining a Return Material Authorization number and following any other guidelines listed. For further information see www.tardisk.com/pages/faq. This warranty is conditioned upon the return of the Product. TarDisk is not responsible for any Product lost or damaged during shipping. California consumers only: California law provides that for in-warranty service, California residents have the option to return the Product to (A) the retail store location where the Product was purchased or (B) to another retail store location that sells the TarDisk product of the same type.

TarDisk may, at its option, either: (1) repair or replace the Product with a new reconditioned or refurbished Product of equal or greater capacity, or another equivalent product; or (2) refund the current market value of the Product at the time the warranty claim is made to TarDisk if TarDisk is unable to repair or replace the Product. In the case of replacements, TarDisk may replace the Product with one that was previously used, repaired, and tested to meet TarDisk specifications. TarDisk will not be liable for indirect or consequential damage (including loss of data), or for damage caused by improper use (including use in an incompatible device or manner and use otherwise not in accordance with the instructions), or by improper installation, unprofessional repair, modification or accident. This constitutes TarDisk's entire liability which will never exceed the price you paid for it, plus the necessary costs you made for the warranty claim. TarDisk products must not be used in applications where failure could threaten injury or life, such as life support systems. TARDISK DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW. IF TARDISK CANNOT DISCLAIM IMPLIED WARRANTIES UNDER APPLICABLE LAW, THEN TO THE EXTENT POSSIBLE, SUCH IMPLIED WARRANTIES ARE LIMITED TO THE DURATION OF THE EXPRESS WARRANTY. THE WARRANTY DURATION ON ANY REPLACED PRODUCT WILL BE THAT PORTION OF THE WARRANTY PERIOD REMAINING ON YOUR ORIGINAL PRODUCT. SOME STATES (OR JURISDICTIONS) DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION OR LIMITATION MAY NOT APPLY TO YOU.
